bREAL Ambassador Program Terms & Agreement

By joining the bREAL Ambassador Program, you agree to represent bREAL – Be Real Enthusiastic About Life (“bREAL,” “we,” “us,” or “our”) in a positive, respectful, and family-friendly manner. Participation in the Ambassador Program is subject to the following terms.

1. Family-Friendly Brand Representation

bREAL is a brand centered around enthusiasm, positivity, and encouraging people to Be Real Enthusiastic About Life. As an ambassador, you agree to represent bREAL in a manner consistent with these values.

Content created to promote or represent bREAL must be appropriate for a general and family-friendly audience. Ambassadors should avoid associating bREAL with content that contains excessive profanity, sexually explicit or suggestive material, illegal activity, violence, harassment, hateful or discriminatory content, or other material that bREAL reasonably determines is inconsistent with its brand values.

bREAL recognizes that ambassadors maintain their own personal social media accounts and identities. However, if an ambassador's public content or conduct becomes materially inconsistent with bREAL's family-friendly image or could reasonably harm the reputation of the brand, bREAL reserves the right to suspend or terminate that ambassador's participation in the program.

2. Content & Promotion

Ambassadors are encouraged to promote bREAL authentically and in their own voice. However, ambassadors may not make false, misleading, deceptive, or unsubstantiated claims about bREAL, its products, or the Ambassador Program.

Ambassadors may not present themselves as employees, official spokespersons, agents, or legal representatives of bREAL unless specifically authorized in writing.

Ambassadors are responsible for ensuring that the content they create and the methods they use to promote bREAL comply with applicable laws, regulations, platform policies, and these Terms.

3. Affiliate & Sponsorship Disclosure

Ambassadors are responsible for clearly and conspicuously disclosing their relationship with bREAL when promoting products or sharing affiliate links or discount codes where disclosure is required.

Where appropriate, posts should include clear disclosures such as #ad, #sponsored, “bREAL Ambassador,” or another disclosure appropriate under applicable Federal Trade Commission endorsement guidelines.

Receiving commissions, free products, discounts, or other benefits from bREAL should be disclosed when applicable.

4. Ambassador Codes, Discounts & Commissions

Any affiliate link, promotional code, or other benefit provided through the Ambassador Program is intended for legitimate promotion of bREAL.

Ambassadors will earn a standard 10% commission on eligible net sales attributed to their unique affiliate link or promotional code. Customers using an ambassador's approved promotional code will receive a standard 10% discount on eligible purchases.

From time to time, bREAL may offer ambassadors opportunities to earn bonus commissions, increased commission rates, additional rewards, or other promotional incentives. These opportunities may be offered for limited periods, specific campaigns, sales goals, special promotions, or other program initiatives determined by bREAL. Any applicable requirements, time periods, and reward or commission amounts will be communicated to participating ambassadors when such opportunities are offered.

Unless otherwise communicated by bREAL, the standard ambassador commission rate will remain 10%, and the standard customer discount will remain 10%.

For purposes of calculating commissions, eligible net sales generally exclude taxes, shipping charges, returns, refunds, cancellations, fraudulent transactions, and other purchases determined to be ineligible under the Ambassador Program.

Ambassadors may not manipulate purchases, create fraudulent transactions, misrepresent referrals, misuse promotional codes, or otherwise attempt to artificially generate commissions.

Commissions associated with fraudulent, canceled, refunded, returned, charged-back, or otherwise ineligible transactions may be withheld, adjusted, or reversed.

5. Commission Payments

Ambassador commissions will be paid on a Monthly basis, subject to a minimum accumulated payout balance of $50.

If an ambassador's earned commission does not meet the minimum payout amount for a payment period, the balance will carry forward until the minimum threshold is reached.

Payments may be subject to reasonable processing periods. bREAL may withhold or adjust payments when reasonably necessary to account for returns, refunds, cancellations, chargebacks, suspected fraud, payment processing issues, or other ineligible transactions.

Ambassadors are responsible for providing accurate and current payment information and completing any information or documentation reasonably required to process payments.

bREAL may provide additional information regarding payment methods, processing procedures, and other administrative details through its current Ambassador Program policies or Program Handbook.

6. Ambassador Community Guidelines

Ambassadors are expected to comply with these Terms and any Ambassador Community Guidelines or brand standards provided by bREAL from time to time.

These guidelines may provide additional expectations regarding appropriate content, promotional practices, use of bREAL branding, interactions with customers and the public, and conduct while representing bREAL.

Violation of these Terms, applicable Community Guidelines, or conduct that bREAL reasonably determines to be materially inconsistent with its brand values may result in suspension or removal from the Ambassador Program.

Community Guidelines and brand standards may be updated as the Ambassador Program develops. Material changes affecting an ambassador's obligations will be communicated or otherwise made reasonably available to participating ambassadors.

7. bREAL Name, Logo & Brand Assets

Ambassadors may use approved bREAL names, logos, product images, and other brand materials solely for purposes of participating in and promoting the Ambassador Program.

Ambassadors may not alter bREAL's branding in a misleading manner, create unauthorized products or merchandise using bREAL intellectual property, register domains or social media accounts incorporating bREAL branding without permission, or imply ownership of or an official partnership with bREAL beyond their status as an ambassador.

All bREAL trademarks, logos, designs, names, and other intellectual property remain the property of their respective owners.

The right to use bREAL brand assets ends when an ambassador leaves or is removed from the Ambassador Program, unless otherwise authorized by bREAL.

8. Ambassador-Created Content & Right to Repost

Ambassadors retain ownership of the original content they create unless otherwise agreed in writing.

By creating or posting content specifically promoting bREAL as part of the Ambassador Program, the ambassador grants bREAL a non-exclusive, royalty-free license to repost, share, display, and distribute that content through bREAL's owned social media accounts, websites, emails, and other digital marketing channels.

bREAL may make reasonable formatting modifications necessary to repost or display the content, including resizing, cropping, adding captions, or incorporating bREAL branding, provided such modifications do not materially misrepresent the ambassador or the original content.

This permission allows bREAL to organically share and promote ambassador-created content without requiring separate approval each time it is reposted through bREAL's owned channels.

Use of ambassador-created content in paid advertising campaigns or other materially modified commercial uses may be subject to separate permission or additional terms where appropriate.

9. Respectful Conduct

Ambassadors are expected to interact respectfully with customers, other ambassadors, bREAL team members, and the public while representing the brand.

Harassment, discrimination, intentionally harmful behavior, fraudulent activity, deceptive promotional practices, or conduct that could reasonably damage bREAL's reputation may result in removal from the Ambassador Program.

10. Removal From the Ambassador Program

Participation in the Ambassador Program is voluntary and may be ended by either party.

bREAL reserves the right to suspend or terminate an ambassador's participation if bREAL reasonably determines that the ambassador has violated these Terms or applicable Community Guidelines, engaged in conduct materially inconsistent with bREAL's brand values, engaged in fraudulent or unlawful activity, misused the Ambassador Program, or is otherwise no longer an appropriate representative of the brand.

Upon termination, the ambassador must discontinue representing themselves as a current bREAL ambassador and stop using program-specific materials, affiliate links, promotional codes, brand assets, or privileges as directed by bREAL.

Any outstanding commissions legitimately earned before termination will be handled in accordance with the applicable payment policies, subject to adjustments for refunds, returns, chargebacks, fraud, or other ineligible transactions.

11. Independent Relationship & Ambassador Responsibility

Participation in the Ambassador Program does not create an employment, partnership, joint venture, franchise, or agency relationship between an ambassador and bREAL.

Ambassadors participate as independent individuals and are responsible for their own activities, expenses, equipment, insurance, taxes, permits, and other obligations that may apply to their participation.

Ambassadors do not have authority to enter into contracts, make commitments, incur expenses, assume obligations, or otherwise act legally on behalf of bREAL unless specifically authorized in writing.

12. Indemnification

Ambassadors are responsible for their own content, statements, conduct, and activities in connection with the Ambassador Program.

To the extent permitted by applicable law, ambassadors agree to indemnify and hold bREAL harmless from third-party claims, damages, liabilities, or reasonable expenses arising directly from the ambassador's violation of these Terms, unlawful conduct, infringement of another person's intellectual property or other rights, or unauthorized representations made on behalf of bREAL.

This provision is intended to apply to claims resulting from the ambassador's own actions or violations and does not require an ambassador to assume responsibility for conduct caused solely by bREAL.

13. Dispute Resolution

If a disagreement or dispute arises between bREAL and an ambassador regarding the Ambassador Program, these Terms, commissions, payments, or participation in the program, both parties agree to first make a reasonable, good-faith effort to resolve the matter directly with one another before pursuing formal legal action.

The goal of this process is to provide both parties with an opportunity to communicate openly, understand the issue, and attempt to reach a mutually acceptable resolution before escalating the matter.

Nothing in this section prevents either party from seeking legal advice or pursuing available legal remedies if a reasonable resolution cannot be reached.

14. Governing Law & Venue

These Terms and any dispute arising from participation in the bREAL Ambassador Program will be governed by the laws of the State of South Carolina, without regard to its conflict-of-law principles.

To the extent a dispute results in formal legal proceedings, the parties agree that such proceedings will be brought in an appropriate court located in Beaufort County, South Carolina, to the extent permitted by applicable law.

15. Changes to the Program

bREAL may update these Ambassador Program Terms, commission structures, payment procedures, eligibility requirements, Community Guidelines, or other program policies from time to time.

Material changes will be communicated or made reasonably available to participating ambassadors as appropriate. Continued participation in the Ambassador Program following the effective date of updated Terms may constitute acceptance of those updated Terms to the extent permitted by applicable law.

16. Acceptance

By applying to, enrolling in, or participating in the bREAL Ambassador Program, you acknowledge that you have read, understood, and agreed to these Ambassador Program Terms.

Please review these Ambassador Program Terms carefully before continuing with your enrollment in the bREAL Ambassador Program.

By returning to the Ambassador Program enrollment page and selecting “I Agree to the Affiliate Agreement,” you acknowledge that you have read, understood, and agree to these Terms, including bREAL's expectations regarding positive, respectful, and family-friendly brand representation.

If you do not agree to these Terms, please do not continue with enrollment in the bREAL Ambassador Program.
